1. Acceptance of these Terms
By creating an account, creating or joining a workspace, using GooseLeave, or authorizing others to use GooseLeave on behalf of an organization, you agree to these Terms and the Privacy Policy. If you use GooseLeave for an organization, you represent that you have authority to bind or act for that organization to the extent required for your actions.
If you do not agree, do not use the service.
2. Who is who
“GooseLeave,” “we,” “us” and “our” mean the GooseLeave service operated from Alberta, Canada. “Organization Customer” means the business or organization whose workspace is created or administered through GooseLeave. “Authorized User” means an owner, administrator, manager, member, employee or other person authorized to access that workspace.
3. Accounts, authority and workspace administration
You must provide accurate information, keep your credentials secure and use only accounts you are authorized to use. You are responsible for activity performed through your account until you notify us of suspected compromise.
Workspace owners and administrators are responsible for deciding who is invited, what roles and permissions they receive, which workplace policies are configured, and whether the organization has lawful authority to enter and process employee information in GooseLeave.
Organization Customers are responsible for promptly removing access when a person should no longer use the workspace.
4. What GooseLeave is — and is not
GooseLeave is software for tracking and planning workplace leave, configuring leave rules, maintaining balances, supporting team visibility and, when enabled, operating approval and reporting workflows.
GooseLeave is not payroll, legal, accounting, tax, medical or human-resources advice. Starter policies, holiday calendars, forecasts and calculations are tools based on configured information. They are not legal minimums, legal opinions or a substitute for an employment agreement, collective agreement, official payroll/HR record or professional advice.
The Organization Customer remains responsible for employment decisions, legal compliance, payroll treatment, leave approval decisions and verifying material balances or entitlements against its authoritative records.
5. Customer data and workplace information
As between you and GooseLeave, the Organization Customer and its users retain their rights in information they submit to the service. You grant GooseLeave a limited, non-exclusive right to host, copy, process, transmit, back up and display that information only as reasonably necessary to operate, secure and support GooseLeave and comply with law.
You represent that you have the rights and authority needed to provide information you submit. Do not enter unnecessary medical details, government identification numbers, payment-card numbers, illegal content or other information that GooseLeave is not designed to hold.
Our handling of personal information is described in the Privacy Policy.
6. Acceptable use
You must not use GooseLeave to violate law or another person’s rights. You must not attempt unauthorized access; probe or defeat security controls; interfere with availability; upload malware; scrape or systematically extract data without authorization; impersonate another person; share credentials improperly; reverse engineer the service except where law expressly permits it; or use GooseLeave to harass, discriminate against or unlawfully monitor employees.
You must not use the service in a way that creates unreasonable technical load, compromises another workspace, or helps another person do something prohibited by these Terms.
7. Trial, subscription, renewal and payment
Unless the signup flow states otherwise, a new public Organization Customer receives a 14-day trial. A payment card is not required to begin that trial.
The current Founding Plan is displayed as CA$20 per month for up to 20 active employees, plus CA$1 per additional active employee per month, plus applicable taxes. The amount shown in the checkout or billing portal controls if it differs from marketing copy.
If you set up billing during the trial, the subscription is scheduled to begin automatically when the trial ends unless you cancel before then. Paid subscriptions renew automatically at the applicable billing interval until cancelled.
Charges are based on the pricing and active-employee quantity reflected in the billing system. You authorize our payment processor to charge the selected payment method for recurring fees, applicable taxes and other amounts shown in the billing flow.
Unless required by law or expressly stated otherwise, fees already paid are non-refundable and we do not provide credits for partial billing periods. If payment fails or becomes past due, we may restrict paid functionality or suspend access until payment is resolved.
Founding pricing may be offered subject to continuous subscription and the conditions disclosed when you subscribe. We will not retroactively charge a different price for a completed billing period.
8. Taxes
Prices displayed on GooseLeave may be shown before tax. The Organization Customer is responsible for applicable sales, use, value-added, goods and services, harmonized sales or similar transaction taxes, except taxes based on GooseLeave’s net income. Where GooseLeave is required to collect tax, the applicable amount may be added to the charge based on billing information and applicable rules.
9. Third-party services
GooseLeave relies on third-party services for functions such as payment processing, email delivery, network/infrastructure operation and security. Their services may be governed by their own terms and privacy practices. We are not responsible for a third party’s independent services, outages or acts outside our reasonable control.
Links to third-party websites do not constitute endorsement or a promise about those services.
10. Public Beta, features and changes
GooseLeave may identify portions of the service as beta, preview or experimental. Beta functionality may change more frequently, contain defects, be modified or be discontinued.
We may add, change, redesign or remove features to improve security, reliability, usability or the commercial service. We will avoid materially reducing paid core functionality without reasonable notice where practicable, but no specific future feature is guaranteed unless separately agreed in writing.
11. Availability, maintenance and data recovery
We aim to operate GooseLeave reliably but do not promise uninterrupted or error-free availability. Maintenance, provider failures, network conditions, security incidents, force majeure and other events may cause downtime or degraded performance.
Backups and recovery measures are designed to support service continuity; they are not a substitute for an Organization Customer maintaining any separate records it is legally or operationally required to keep.
12. GooseLeave intellectual property and feedback
GooseLeave, its software, designs, branding, documentation, graphics and other service materials are owned by or licensed to GooseLeave and are protected by applicable intellectual-property laws. These Terms give you a limited right to use the service; they do not transfer ownership of GooseLeave technology or branding.
If you voluntarily provide ideas or feedback, you allow us to use that feedback to improve GooseLeave without restriction or payment, provided we do not publicly identify you as the source without permission.
13. Suspension and protective action
We may suspend or restrict access where reasonably necessary to address a security risk, suspected fraud or abuse, non-payment, unlawful use, material breach of these Terms, harm to another user or the service, or a legal requirement. Where appropriate and reasonably possible, we will provide notice and an opportunity to resolve the issue.
14. Ending use and workspace closure
You may stop using GooseLeave at any time. Workspace owners may cancel a paid subscription through the available billing controls and may contact support regarding workspace closure.
When a subscription or trial ends, we may restrict the ability to make changes while preserving data for a reasonable period consistent with our retention practices. We may later delete or de-identify information in accordance with the Privacy Policy and applicable law.
Sections that by their nature should survive termination — including payment obligations already incurred, intellectual property, disclaimers, liability limits, indemnity and governing law — continue to apply.
15. Disclaimers
To the maximum extent permitted by law, GooseLeave is provided “as is” and “as available.” We disclaim warranties and conditions not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation.
We do not warrant that a calculation, regional calendar, starter policy, forecast, approval flow or configuration will satisfy every employment law, collective agreement, payroll system or organization policy. The Organization Customer must review and validate its configuration.
16. Limitation of liability
To the maximum extent permitted by law, GooseLeave will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for loss of profits, revenue, goodwill, business opportunity or data, arising from or related to the service.
To the maximum extent permitted by law, GooseLeave is not responsible for losses caused by inaccurate organization configuration, employment decisions, unauthorized account use, failure to remove a former user, reliance on GooseLeave instead of an authoritative payroll/HR record, or events outside our reasonable control.
To the maximum extent permitted by law, GooseLeave’s aggregate liability for all claims arising from or relating to the service will not exceed the greater of (a) the fees paid or payable by the Organization Customer to GooseLeave during the 12 months before the event giving rise to the claim, or (b) CA$100. This limitation does not apply where applicable law prohibits or restricts such a limitation.
17. Organization responsibility and indemnity
To the extent permitted by law, an Organization Customer will defend and indemnify GooseLeave against third-party claims, damages and reasonable costs arising from the Organization Customer’s unlawful use of GooseLeave, information it did not have authority to provide, employment decisions made independently by the Organization Customer, or material breach of these Terms, except to the extent the claim was caused by GooseLeave’s own breach, negligence or wilful misconduct.
18. Governing law and disputes
These Terms are governed by the laws of Alberta and the applicable federal laws of Canada, without regard to conflict-of-law rules. Subject to mandatory law that provides otherwise, disputes relating to these Terms or GooseLeave will be brought in the courts located in Alberta, Canada.
Nothing in these Terms removes rights or remedies that cannot legally be waived or limited.
19. General terms
These Terms and documents expressly incorporated into them form the agreement governing the service unless a separate written agreement applies. If one provision is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver.
You may not assign these Terms without our consent except as part of a permitted transfer of your business or organization. GooseLeave may assign these Terms as part of a reorganization, financing, merger, acquisition or sale of the service or relevant business assets.
Neither party is responsible for delay caused by events beyond its reasonable control, except that payment obligations already incurred are not excused.
20. Changes to these Terms
We may update these Terms as GooseLeave develops or legal/commercial requirements change. We will update the effective date. For material changes, we will provide additional notice where appropriate. Continued use after updated Terms take effect constitutes acceptance to the extent permitted by law.
